About the role:
As a Transaction Risk Insurance Underwriter for Tax you will form part of a dynamic team of professionals that focus on developing our portfolio. You will directly report to the TRI Senior Underwriter – Tax Lead. Our TRI team is headquartered in Barcelona with dedicated teams in Munich, London, New York, Houston, Singapore, and Sydney.
Our TRI team has a wide range of legal, accounting and insurance experience with multilingual skills and local industry knowledge. Underwriters also have extensive administrative support in our Barcelona office. We have a unique set-up that promotes knowledge-sharing and collaboration amongst the teams, and we work together to ensure that clients receive the best level of tailored coverage, effective advice, and a prompt service.
After initial training and ongoing support, we expect you to select, analyse, and price risks and establish policy terms for W&I, Tax and Contingent Liability Insurance Policies. You will be key in helping build profitable relationships with brokers and insureds and your role will fully support and comply with the company’s objectives and standards.
Key Responsibilities:
- Legal/Financial/Tax review of business transactions identifying deal risks through the study and analysis of M&A transaction documentation, as well as financial statements, due diligence reports, etc.
- Review Tax & Contingent Liability risks and W&I insurance submissions, prepare and submit quotes, liaise with brokers and secure business.
- Participate fully and use your expertise to assist to shape and develop strategy, knowledge and best practice.
- Follow Underwriting guidelines and submit underwriting, pricing and negotiation recommendations on tax, legal and financial aspects of the transactions to management.
- Draft, negotiate and adapt policy terms for the specific risks.
- Assist and oversee the performance of external tax, legal and/or financial counsels representing the company in each deal.
- Develop and maintain relationships with brokers, lawyers, private equity firms, deal principals and colleagues from Tokio Marine HCC offices worldwide.
- Coordinate and/or participate in special projects including tax trainings, underwriting standards, best practices, providing technical support to colleagues in those tasks.
- Attend off-site conferences, sector specific seminars and meetings with brokers, lawyers, and other transaction advisors.
Skills And Competencies Required:
- University Degree (preferably Bachelor’s in Law, Finance or Business Administration).
- 3-5 years of experience in a law firm, accounting firm or advisory role, with experience in Tax law and M&A or Financial Analysis.
- Basic knowledge of Finance and Accounting.
- Fluent in English.
- An additional European language would be a plus.
- Understanding of M&A legal documents (Sale Agreements, DD reports, data room documents…), financial information and transaction process would be a plus.
- Excellent written and oral communication skills, commercial acumen, and complex problem-solving skills.
